Smart Business Connect (SBC)
Company Rules, Operations Manual, and Referral System Policy — Version v1.0
I. Company Overview
Smart Business Connect (SBC) is an independent sales, referral, training, and business support company established to develop professional affiliates, generate qualified referrals, and support the growth of Enagic distributors through ethical referral marketing and standardized business systems.
SBC is not an Enagic corporate office and does not represent Enagic in any official capacity.
SBC operates as an independent distributor and an independent referral agency, and also provides business development, training, marketing support, and lead generation services.
II. Corporate Independence
SBC is a separate and distinct legal business entity, independent from Enagic, Nexland Realty, Nexland Agents, and any individual Enagic Distributor.
Every Enagic Distributor operates his or her own independent business. SBC only provides training, marketing support, lead generation, affiliate management, sales coordination, and demo scheduling.
SBC maintains its own bank accounts, accounting records, marketing budget, capital, employees, assets, liabilities, contracts, and operating expenses, and shall never use the funds or resources of another business entity without proper authorization.
III. Business Model
SBC connects Qualified Referral Affiliates, Enagic Distributors, and Prospective Buyers through a structured referral and demonstration system.
SBC earns through referral management, business development, sales support, marketing services, and distributor partnerships.
IV. SBC Sales Priority Policy
A distributor who conducts the official product demonstration shall have priority over the sale.
The buyer shall be recorded as the official sale of the distributor who conducted the demo. The affiliate shall not claim ownership of the sale and receives the agreed referral commission only. Sales ownership belongs to the demonstrating distributor.
This policy avoids internal conflict and protects distributors who invest their time and expertise in conducting demonstrations.
V. Affiliate Classification
Option A — SBC Exclusive Affiliate: sign the SBC Affiliate Agreement, undergo SBC training, follow SBC systems, request demonstrations only through SBC, follow SBC compensation policies, and be supervised by SBC.
Option B — Distributor Affiliate: affiliate directly under an independent Enagic Distributor who becomes responsible for training, supervision, marketing, sales systems, and affiliate management. SBC may provide optional support but shall not interfere with the distributor's internal operations.
VI. Exclusivity
Affiliates registered under SBC agree to exclusively conduct Enagic referral activities through SBC and shall not simultaneously affiliate with another Enagic distributor without following the proper resignation procedure.
VII. Affiliate Qualifications
Applicants must be at least 18 years old, legally competent to enter into contracts, not an existing Enagic Distributor, complete SBC Orientation, sign the SBC Affiliate Agreement, and complete the required training.
VIII. Training Requirements
All SBC Affiliates must complete: Day 1 — Company Orientation; Day 2 — Product Knowledge; Day 3 — Sales Process, Demo Procedures, Compliance, and Ethics.
Only affiliates who successfully complete the three-day training shall receive a Certificate of Completion and become eligible for demo assistance.
Policy: No Training. No Certificate. No Demo Assistance.
IX. Demonstration Flow
1. Affiliate identifies a qualified prospect. 2. Affiliate submits Demo Request to SBC. 3. SBC validates the lead. 4. SBC assigns an available distributor. 5. Distributor confirms schedule.
6. Official product demonstration is conducted. 7. Buyer evaluation and follow-up. 8. Sale is processed. 9. Sale is officially credited to the distributor who conducted the demonstration. 10. Referral commission is released to the affiliate based on the approved compensation plan.
X. Tukurie Account
Affiliates may apply for a Tukurie Account provided SBC is the official sponsor, the affiliate complies with SBC policies, and the affiliate remains in good standing.
XI. Resignation Policy
Affiliates intending to transfer to another Enagic distributor or team shall submit a written resignation, render at least thirty (30) calendar days' notice, complete pending obligations, return company materials if applicable, and settle outstanding accounts. Only after completion may the affiliate transfer.
XII. Training Recovery Fee
If an affiliate transfers to another team without proper resignation, contract termination, or cancellation process, the affiliate agrees to reimburse SBC's training investment by paying ₱15,000.00 as a Training Recovery Fee.
XIII. Non-Circumvention
Affiliates shall not bypass SBC, directly negotiate with SBC referral suppliers, copy SBC systems, recruit SBC personnel using confidential information, use SBC materials for another organization, or divert qualified leads away from SBC.
Violation constitutes a breach of contract. Penalty: ₱150,000.00 per violation, without prejudice to any other legal remedies available under applicable law.
XV. Referral System
Referral sources include family, friends, business partners, corporate clients, real estate buyers, health professionals, existing customers, online marketing, events, and seminars.
All referrals shall be registered with SBC before any demonstration. The first officially recorded referral shall have priority.
XVI. Lead Ownership
Registered leads belong to SBC until assigned. Duplicate leads shall follow the first valid registration. Leads may not be reassigned without approval. Unauthorized use of another affiliate's lead is prohibited. False lead registration is grounds for disciplinary action.
XVII. Commission System
Distributor: receives the sales credit and corresponding Enagic distributor compensation under the applicable Enagic compensation plan.
Affiliate: receives the agreed SBC referral commission after buyer payment is verified, required documents are completed, and the sale is validated under SBC procedures. Referral commissions are separate from Enagic distributor commissions.
XVIII. Incentive Program
SBC may offer additional incentives, subject to separate program guidelines, such as Monthly Top Referrer Award, Quarterly Sales Champion, Team Performance Bonus, Leadership Bonus, Recruitment Incentive, Customer Service Excellence Award, Travel Incentives, Recognition Programs, Training Scholarships, and Business Development Grants.
XIX. Code of Ethics
Every affiliate shall conduct business honestly, avoid misleading statements, respect clients and distributors, protect confidential information, avoid conflicts of interest, comply with company policies, follow all applicable laws and regulations, and maintain professionalism at all times.
XX. Prohibited Acts
Affiliates shall not misrepresent products, make unauthorized medical or income claims, accept payments on behalf of another distributor without authority, falsify documents, forge signatures, recruit using false promises, engage in unethical competition, defame other distributors, harass clients or fellow affiliates, or use SBC intellectual property without permission.
XXI. Confidentiality
All company materials — including training manuals, marketing systems, compensation structures, client databases, supplier information, operational processes, forms, templates, and CRM records — are confidential and shall not be reproduced, distributed, or disclosed without written authorization from SBC.
XXII. Disciplinary Actions
Violations may result in verbal warning, written warning, suspension, removal of demo privileges, cancellation of affiliate status, forfeiture of incentives where allowed under the Affiliate Agreement, or legal action for contractual breaches or misuse of confidential information.
XXIII. Company Values
Every SBC Affiliate is expected to uphold integrity, professionalism, service excellence, respect, accountability, teamwork, continuous learning, customer first, ethical business practices, and long-term partnership.
XXIV. General Provisions
All affiliates shall comply with SBC policies and procedures. SBC reserves the right to amend this manual when necessary. Any amendments shall be communicated in writing before implementation.
Matters not covered by this manual shall be resolved by SBC Management in accordance with the Affiliate Agreement and applicable Philippine laws. If any provision is declared invalid or unenforceable, the remaining provisions shall continue to be effective.
